Terms of Service

GFX Labs, Inc (“GFX” "us" "we" "our") is the owner and operator of sheets.gfx.xyz (the “Site”) and the Web3 Sheets add-on application (“Web3 Sheets” "Service" “Add-on”). Web3 Sheets is provided by GFX at no cost and is intended for use as is, with premium features available for purchase.

Please carefully read this Terms of Service agreement (the “Terms” or the “Agreement”) as well as our Privacy Policy before using the Service. By accessing or using the Service, you agree to comply with and be bound by these Terms and the terms detailed in our Privacy Policy. If you disagree with any part of either, you should not use Web3 Sheets.

Agreement​

This Agreement describes the terms and conditions governing your use of the Site and Service. This Agreement may be modified at any time by GFX upon posting of the modified Agreement. Any such modifications shall be effective immediately. You can view the most recent version of these terms at sheets.gfx.xyz. Each use by you shall constitute your unconditional acceptance of this Agreement.

Your access to and use of the Service depends upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

Ownership​

All content included on this Site shall continue to be the property of GFX or its content suppliers. It is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use, or publication of any part of the Site is prohibited except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content through your use of this Site or the Add-on.

Intellectual Property​

The Service and its original content, features, and functionality remain the exclusive property of GFX and its licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of GFX.

Our Site and Service may contain links to third-party websites or services that are not owned or controlled by us. GFX has no control over—and assumes no responsibility for—the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that GFX shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services you visit.

Intended Audience​

The Service and Site are intended for adults only. They are not intended for any children under the age of 13.

Site and Service Use​

GFX grants you a limited, revocable, nonexclusive license to use this site solely for your personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other uses. You agree not to copy materials on the Site or Service, reverse engineer or break into either, or use materials, products, or services in violation of any law. Your use of the Site and Service are at the discretion of GFX, and GFX may terminate your use of either at any time.

Compliance with Laws​

You agree to comply with all applicable laws regarding your use of the Site and Service. You further agree that the information you provided is truthful and accurate to the best of your knowledge.

Termination​

We may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Subscriptions​

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are available on a monthly or annual basis.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting us at the email address provided below.

A valid payment method, such as a credit card, is required to process your subscription payments. Web3 Sheets utilizes Stripe to facilitate payments and subscriptions. Stripe’s Privacy Policy can be found here: https://stripe.com/legal/ssa.

Fee Changes​

GFX in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

GFX will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Refunds​

We may consider specific refund requests for Service subscriptions on a case-by-case basis at our sole discretion.

Any refunds for annual subscriptions granted at the sole discretion of GFX issued before the first day of the 7th month of the subscription term will incur a minimum three-month forfeiture of adjusted pro rata fees. For example, if a user signs up for an annual subscription in month one and then requests a refund in month three, that user will pay a total of 6 months' worth of adjusted monthly fees at the annual discounted rate. Indemnification​

You agree to indemnify, defend and hold GFX and our partners, employees, and affiliates harmless from any liability, loss, claim, and expense, including reasonable attorney's fees, related to or arising out of (a) your use and access of the Site or Service, by you or any person using your account and password, or (b) a breach of these Terms.

Disclaimer​

YOUR USE OF THIS WEBSITE AND THE SERVICE IS AT YOUR OWN RISK. ANY SERVICE AND/OR INFORMATION PROVIDED BY THE WEBSITE IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED. GFX DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. GFX DOES NOT WARRANT THAT ANY FUNCTION OR CONTENT CONTAINED ON THIS WEBSITE OR ANY SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GFX DOES NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING USE, OR THE RESULT OF USE, OF ANY SERVICE OR CONTENT IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE. THE USER ACKNOWLEDGES THAT THE CONTENT MAY INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS, AND GFX MAY MAKE CHANGES OR IMPROVEMENTS TO THE WEBSITE AT ANY TIME. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION IN THE EVENT OF ANY LOSS OR DAMAGE ARISING FROM THE USE OF THIS WEBSITE, ANY SERVICE, OR ITS CONTENT. GFX MAKES NO WARRANTIES THAT YOUR USE OF THE CONTENT WILL NOT INFRINGE THE RIGHTS OF OTHERS AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ERRORS OR OMISSIONS IN ANY CONTENT ON THE WEBSITE.

Limitation Of Liability​

GFX, ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR ANY INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR OTHER DAMAGES, INCLUDING LOSS OF REVENUE OR INCOME, LOSS OF DATA, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR SIMILAR DAMAGES, EVEN IF GFX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, SUCH DAMAGES WERE REASONABLY FORESEEABLE, OR GFX WAS GROSSLY NEGLIGENT. IN NO EVENT WILL THE COLLECTIVE LIABILITY OF GFX AND ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE), EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID TO GFX FOR THE USE OF THE WEBSITE OR ANY SERVICE IT PROVIDES.

You may have additional rights under certain jurisdiction’s laws (including consumer laws) which do not allow the exclusion of implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.

Governing Law​

You agree that any dispute arising out of or relating to these Terms, your use of the Site, and/or your use of the Service shall be governed by the laws of the State of Illinois without regard to its conflict of law provisions. You agree to personal and exclusive jurisdiction by and venue in the state and federal courts of Chicago, Cook County, Illinois.

YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE, ANY SERVICE PROVIDED BY THE SITE, OR THE TERMS OF USE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

Severability​

If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

Waiver​

The failure of GFX to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by GFX must be in writing and signed by an authorized representative of GFX.

Termination​

GFX may terminate this Agreement at any time, with or without notice, for any reason.

Entire Agreement​

These Terms constitute the entire agreement between you and GFX, govern the terms and conditions of your use of the Site and Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and GFX concerning this Site and the Service.

Notwithstanding the preceding, you may also be subject to additional terms, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the website. GFX may revise these Terms of Service by updating this Agreement and posting it on the Site. Accordingly, you should visit the Site and review the Terms of Service periodically to determine if any changes have been made. Your continued use of this website after any changes have been made to the Terms signifies and confirms your acceptance of any such changes or amendments to the Terms.
